WELCOME TO HB TICKET EXCHANGE! We (HB Ticket Exchange, "HBTE", "we", "us", or "our") are excited to provide a platform for Seahawks fans to connect and facilitate ticket transactions. By accessing, using, or otherwise interacting with our website at hbtix.com, mobile application (if applicable), services, content, or any associated postings (together, "HBTE Platform"), you agree to these Terms of Use ("TOU").
You acknowledge and agree that the HBTE Platform is a private community platform owned and operated by WorkDad LLC. If you are accessing or using the HBTE Platform on behalf of a business, you represent and warrant to HBTE that you have the authority to accept these TOU on behalf of that business and that the business agrees to these TOU.
1. Acceptance of Terms
- 1.1. Agreement: By using the HBTE Platform, you agree to these TOU and all incorporated policies.
- 1.2. Eligibility & Agent Liability: You affirm that you are of sufficient legal age and capacity to use the HBTE Platform and to be bound by these TOU, or that you are using the HBTE Platform on behalf of a business and have the authority to bind that business to these TOU. You are fully liable and responsible for the actions of any employees, agents, affiliates, "runners", or any other party acting on your behalf or for your benefit on the HBTE Platform.
- 1.3. Purpose: The HBTE Platform is intended solely to facilitate communication and connection between Seahawks fans for the purpose of potentially buying or selling tickets. HBTE DOES NOT BROKER, FACILITATE, OR PARTICIPATE IN ANY FINANCIAL TRANSACTIONS BETWEEN USERS. All actual ticket sales, payments, and ticket transfers occur directly between the buyer and seller, outside of the HBTE Platform.
2. License to Use
- 2.1. Limited License: Subject to your agreement to these TOU, we grant you a limited, revocable, non-exclusive, non-assignable license to use the HBTE Platform in compliance with these TOU for your personal, non-commercial use, or on behalf of a business you are authorized to represent. Unlicensed use is unauthorized.
- 2.2. Your Content: You grant us a perpetual, irrevocable, unlimited, worldwide, fully paid, and sublicensable license to use, copy, display, distribute, and create derivative works from any content (including ticket listings, messages, vouches, and profile information) that you post, upload, or make available on the HBTE Platform.
3. User Conduct and Prohibited Activities
3.1. General Use: You agree to use the HBTE Platform only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the HBTE Platform.
3.2. Community Guidelines: You agree to adhere to our Community Guidelines, which prohibit:
- Fraudulent Activity: Any attempts to scam, deceive, or defraud other users.
- Misrepresentation: Falsely advertising tickets (e.g., incorrect sections, rows, quantities, or authenticity), misrepresenting your identity, or claiming false affiliations.
- Harassment & Abuse: Any form of harassment, hate speech, bullying, or abusive behavior towards other users.
- Prohibited Content: Posting content that is illegal, obscene, defamatory, threatening, infringing on intellectual property rights, or otherwise harmful to others.
- Commercial Activity (Except Tickets): Using the platform for general commercial advertising or sales beyond genuine Seahawks ticket transactions between fans.
- Account Misuse: Buying, selling, or creating misleading accounts.
- 3.3. Automated Access: Unless explicitly licensed by us in a separate written agreement, you agree not to use or provide software or services that interact or interoperate with the HBTE Platform for automated downloading, uploading, posting, flagging, emailing, searching, or any other automated or manual equivalent.
- 3.4. Data Collection: You agree not to collect HBTE Platform user information, including personal or identifying information, for any purpose beyond facilitating your direct ticket transaction.
- 3.5. Interference: You agree not to interfere with the proper working of the HBTE Platform, including but not limited to introducing viruses, worms, or other malicious code.
- 3.6. Moderation: You agree that we may moderate access to and use of the HBTE Platform in our sole discretion. We are not liable for moderating or not moderating, nothing we say waives our right to moderate, and you will not bypass any moderation efforts.
- 3.7. Intellectual Property: You agree not to copy, adapt, create derivative works of, decompile, reverse engineer, translate, modify, or otherwise exploit any part of the HBTE Platform or its underlying software.
4. Trust Level and Vouch System
- 4.1. Purpose: The HBTE Platform offers a "Trust Level" and "Vouch System" based on user-provided information and peer feedback.
- 4.2. Disclaimer: HBTE DOES NOT GUARANTEE THE ACCURACY, AUTHENTICITY, OR RELIABILITY OF ANY TRUST LEVEL, VOUCH, OR USER-PROVIDED INFORMATION. Users rely on these systems at their own risk.
5. Transactions and Disclaimers
- 5.1. No Brokering: HBTE is a communication platform only. WE DO NOT HANDLE ANY FINANCIAL TRANSACTIONS, PAYMENTS, TICKET TRANSFERS, OR ESCROW SERVICES.
- 5.2. Risk Assumption: You understand and agree that all transactions initiated or facilitated through the HBTE Platform are conducted AT YOUR OWN RISK.
- 5.3. Recommendations: We may provide recommendations for best practices or safety tips. These are for informational purposes only and do not constitute an endorsement, guarantee, or warranty by HBTE.
- 5.4. Reporting Scams: We encourage users to report suspicious activity to contact@hbtix.com. We reserve the right to investigate and take appropriate action.
6. Fees
6.1. General usage of the HBTE Platform is currently free, but we may charge fees for certain premium features, such as Identity Verification. When you use a paid feature, you authorize us to charge your account. All fees are non-refundable, even if your account is later moderated, restricted, or banned.
7. Disclaimer of Warranties & Limitation of Liability
- 7.1. "AS IS" Basis: TO THE FULL EXTENT PERMITTED BY LAW, HBTE ENTITIES PROVIDE THE PLATFORM ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND ANY RISK OF USING THE PLATFORM IS ASSUMED BY YOU. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
- 7.2. Limitation of Liability: HBTE ENTITIES ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR OTHER LOSSES ARISING FROM OR RELATED TO THE PLATFORM OR ANY TRANSACTION. IN NO EVENT SHALL SUCH LIABILITY EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE YEAR PRECEDING SUCH LOSS.
8. Indemnification
8.1. You agree to indemnify, defend, and hold harmless HBTE Entities from and against any claims, losses, damages, liabilities, costs, and expenses arising out of or relating to your use of the platform, violation of these TOU, content postings, transactions, or intellectual property infringement.
9. Governing Law and Arbitration
- 9.1. Binding Arbitration: Any dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (“AAA”) conducted in Seattle, Washington.
- 9.2. Governing Law: This Agreement shall be governed by the laws of the State of Washington.
- 9.3. Waiver of Class Actions: All disputes shall be resolved on an individual basis. You agree not to participate in any purported class, collective, or representative proceeding.
- 9.4. Exceptions: Either party may bring an individual claim in small claims court or seek injunctive relief for intellectual property violations.
10. Trademarks
10.1. "HB Ticket Exchange", "HBTix", the HBTix logo, and related brand features are trademarks of WorkDad LLC. You agree not to use, copy, or display these trademarks without our express written consent.
11. Copyright Infringement & DMCA Policy
11.1. If you reasonably believe that content on the HBTE Platform infringes upon your intellectual property rights, please send a written notice of the claimed infringement to contact@hbtix.com including the required identification and contact information.
12. Liquidated Damages
12.1. You further agree that if you violate these TOU, or you encourage, support, benefit from, or induce others to do so, you will be jointly and severally liable to us for liquidated damages as follows:
